You must check all the information submitted in this order form, especially all details useful for delivery (delivery address, building access code, phone numbers, etc.). Section 10 - Supplier & Owner Agreement

a.The supplier and the owner of the online store are each referred to as the "party" or both as the "parties";

b. The supplier manufactures and supplies various products;

c.The owner of the online store operates one or more websites that facilitate the search, purchase, and payment of various products from various suppliers;

d.The parties wish to establish a direct delivery cooperation, which is a retail delivery method in which the owner of the online store does not keep the goods in stock but directly transfers the end customer's orders and shipping details to the supplier, who then ships the goods directly to the end customer;

The owner of the online store will act, within the framework of the above-mentioned activity, as an intermediary, facilitating the purchase and payment of the supplier's products by the end customers. The supplier will ship these products directly to the buyer. The owner of the online store will therefore not receive the products and will therefore not import them, the owner of the online store only informing the supplier of the purchase orders that have been placed;

f.Furthermore, the owner of the online store acts as the representative of the end customers and will therefore be their main point of contact: The owner of the online store will make the payment on behalf of the end customer and will handle returns of products purchased on behalf of the end customers.

Annex 1: Provisions of the Consumer Code regarding the legal warranty of conformity

Article L211-4

The seller is required to deliver goods that conform to the contract and is liable for non-conformity defects existing at the time of delivery.

They are also liable for non-conformity defects resulting from packaging, assembly instructions, or installation when it has been made their responsibility by the contract or has been carried out under their responsibility.

Article L211-5

To conform to the contract, the goods must:

1° Be fit for the use normally expected of similar goods and, where applicable:

- correspond to the description given by the seller and possess the qualities that the seller presented to the buyer in the form of a sample or model;

- present the qualities that a buyer may legitimately expect in view of the public statements made by the seller, the manufacturer or their representative, notably in advertising or labelling;

2° Or present the characteristics agreed upon by the parties or be suitable for any special purpose sought by the buyer, brought to the seller's attention and accepted by the latter.

Article L211-6

The seller is not bound by the public statements of the manufacturer or their representative if it is established that they were unaware of them and were not legitimately in a position to know them.

Article L211-7

Non-conformity defects that appear within six months from the delivery of the goods are presumed to have existed at the time of delivery, unless proven otherwise.

The seller may rebut this presumption if it is incompatible with the nature of the goods or the alleged non-conformity defect.

Article L211-8

The buyer is entitled to require that the goods conform to the contract. However, they may not contest conformity by invoking a defect they knew of or could not have ignored when entering into the contract. The same applies if the defect originated from materials they themselves provided.

Article L211-9

In the event of a non-conformity defect, the buyer chooses between the repair and replacement of the goods.

However, the seller may not proceed according to the buyer's choice if that choice entails a manifestly disproportionate cost compared to the other option, taking into account the value of the goods or the severity of the defect. They are then required to proceed, unless impossible, according to the option not chosen by the buyer.

Article L211-10

If the repair and replacement of the goods are impossible, the buyer may return the goods and be refunded the price or keep the goods and be refunded part of the price.

The same option is open to them:

1° If the solution requested, proposed or agreed upon pursuant to Article L. 211-9 cannot be implemented within one month following the buyer's complaint;

2° Or if this solution cannot be implemented without major inconvenience to them, taking into account the nature of the goods and the use they seek.

However, the rescission of the sale cannot be pronounced if the non-conformity defect is minor.

Article L211-11

The application of the provisions of Articles L. 211-9 and L. 211-10 shall be at no cost to the buyer.

These same provisions do not preclude the awarding of damages.

Article L211-12

The action resulting from the non-conformity defect is subject to a two-year limitation period from the delivery of the goods.

Article L211-13

The provisions of this section do not deprive the buyer of the right to exercise the action resulting from latent defects as set out in Articles 1641 to 1649 of the Civil Code or any other action of a contractual or non-contractual nature recognized by law.

Article L211-14

The recourse action may be exercised by the final seller against successive sellers or intermediaries and the manufacturer of the tangible movable goods, according to the principles of the Civil Code.

Annex 2: Civil Code provisions concerning the warranty against latent defects

Article 1641

The seller is bound by the warranty for latent defects in the sold item that render it unfit for the use for which it is intended, or so diminish that use that the buyer would not have acquired it, or would have given it a lower price, had they known of them.

Article 1642

The seller is not bound by apparent defects of which the buyer could have ascertained by themselves.

Article 1642-1

The seller of a building to be constructed cannot be discharged, neither before the acceptance of the works nor before the expiration of a period of one month after the buyer takes possession, from construction defects or apparent non-conformity defects.

There shall be no rescission of the contract or reduction in price if the seller undertakes to repair.

Article 1643

They are bound by latent defects, even if they were unaware of them, unless, in such case, they have stipulated that they shall not be bound by any warranty.

Article 1644

In the case of Articles 1641 and 1643, the buyer has the choice of returning the item and being refunded the price, or keeping the item and being refunded part of the price, as determined by experts.

Article 1645

If the seller knew of the defects in the item, they are bound, in addition to the restitution of the price they received for it, to pay all damages to the buyer.

Article 1646

If the seller was unaware of the defects in the item, they shall only be bound to the restitution of the price and to reimburse the buyer for the expenses incurred due to the sale.

Article 1646-1

The seller of a building to be constructed is bound, from the acceptance of the works, by the obligations to which the architects, contractors and other persons linked to the project owner by a contract for work are themselves bound pursuant to Articles 1792, 1792-1, 1792-2 and 1792-3 of this code.

These warranties benefit successive owners of the building.

There shall be no rescission of the sale or reduction in price if the seller undertakes to repair the damages defined in Articles 1792, 1792-1 and 1792-2 of this code and to assume the warranty provided for in Article 1792-3.

Article 1647

If the item that had defects perished due to its poor quality, the loss is borne by the seller, who shall be bound towards the buyer to the restitution of the price and the other compensation explained in the two preceding articles.

But the loss occurring by chance shall be borne by the buyer.

Article 1648

The action resulting from latent defects must be brought by the buyer within two years from the discovery of the defect.

In the case provided for by Article 1642-1, the action must be brought, under penalty of forfeiture, within one year following the date on which the seller may be discharged from apparent defects or non-conformity defects.

Article 1649
It does not apply to sales made by judicial authority.
